Hill Samuel ESOP Trustees Limited, as trustee of the Lloyds TSB Group Shareplan,
has purchased, between 17 April 2003 and 25 April 2003, 9,223,991 shares at
prices ranging from 396.09p to 423.08p per share, to be held by Lloyds TSB
Registrars Corporate Nominees Limited AESOP2 account in its capacity as nominee,
to satisfy allocations of "free shares" to staff under the shareplan.

The following directors, together with some 80,000 other employees, are
potential participants in the shareplan and are, therefore, to be treated as
interested in the shares.
