Hill Samuel ESOP Trustees Limited, as trustee of the Lloyds TSB Group Shareplan,
allocated 8,974,159 shares, held by Lloyds TSB Registrars Corporate Nominees
Limited AESOP2 account in its capacity as nominee, to participants in the
shareplan to satisfy allocations of "free shares" to staff under the shareplan
on 28 April 2003.

The following directors, together with some 80,000 other employees, are
potential participants in the shareplan and are, therefore, to be treated as
interested in the remaining 249,832 unallocated shares.
