Directors' Notification of Dealing in Shares

LLOYDS TSB GROUP - NOTIFICATION OF INTERESTS OF DIRECTORS

Lloyds TSB Quest Limited, as trustee of the Lloyds TSB qualifying share
ownership trust, was allotted 4,559,505 shares in Lloyds TSB Group plc on
4th May 2000 at 647p per share.

In addition, Lloyds TSB Share Schemes Trustees Limited, as trustee of the TSB
Group employee trust and Lloyds TSB Quest Limited, as trustee of the Lloyds TSB
qualifying share ownership trust, transferred 19,976 and 1,226,955 shares,
respectively, on 4th May 2000, to individuals who had exercised share options
granted under the group's employee share schemes.

The following directors, together with some 70,000 other employees, are
potential beneficiaries of the trusts and are therefore to be treated as
interested in the remaining 1,014,891 and 4,014,415 shares, respectively, held
by these trusts.
