Results of General Meeting
The Company announces that, at the general meeting held earlier today: (i) the resolution proposed in relation to the authorisation of the Company to make one or more market purchases of ordinary shares in connection with the proposed tender offer for ordinary shares (the "Repurchase Resolution") was passed as a special resolution; and (ii) the resolution proposed in relation to the approval of the arrangement to be entered into between the Company and the trustees of the Lord Rayne Will Trust (as set out in the circular sent to shareholders on 9 May 2014) in connection with the tender offer for ordinary shares (the "Related Party Resolution") was passed as an ordinary resolution (together, the "Resolutions").

In accordance with the UK Financial Conduct Authority's Listing Rules, a copy of the Resolutions will shortly be submitted to the National Storage Mechanism and will be available for inspection at http://www.morningstar.co.uk/uk/NSM.
