                            CHANGES IN DIRECTORATE

With effect from 18th August 1999 Mr. Peter Latilla-Campbell retired from the
Board of the Company as, for health reasons, he has decided to reduce his
commitments.

The directors of the Company are pleased to announce the appointment with effect
from the same date of Dr. Frank William Andre Aaron Lucas as a non-executive
director of the Company.

Dr. Lucas, aged 31, is the founding shareholder and managing director of Loeb,
Aron & Company Limited, an investment and issuing house.

Dr. Lucas has no unspent convictions in relation to indictable offences, has not
been made bankrupt or subject to any individual voluntary arrangement, has not
been involved as a director of a company at the time or within 12 months of such
company being subject to a receivership, a compulsory liquidation, company
voluntary arrangement or any composition or arrangement with any of its
creditors, has not been a partner or director of a partnership at the time or
within 12 months of such partnership voluntary arrangement nor has he been
subject to any public criticism by any statutory or regulatory authority, nor
has he ever been disqualified by a court from acting as a director of a company
or from acting in the management or conduct of the affairs of any company.
