London Stock Exchange Annual General Meeting
At today's annual general meeting of the London Stock Exchange all of the
directors standing were re-elected to the Board. Three directors were elected
on a poll and the results of the ballot are:

Gavin Casey 9,462,218 (56.3%) 7,337,778 (43.7%)
Michael Marks 11,445,231 (73.1%) 4,215,420 (26.9%)
Don Cruickshank 10,984,563 (66.5%) 5,525,408 (33.5%)
Following the declaration of the vote, Don Cruickshank, Chairman of the London
Stock Exchange said: 'We have today set out our strategy for the future and
sought to address the inevitable concerns raised as we move from a mutual
organisation to a for-profit company. At our annual meeting today I undertook
to continue the dialogue we have established between the London Stock Exchange
plc, our customers and our shareholders.
'Meanwhile, we are building on a fine track record. This is a strong company -
the most international of exchanges. It does not have to do deals; it may -
although it doesn't have to. It will be developed to be stronger and it will
participate in merger and consolidation at the right time. Above all, the
London Stock Exchange is not up for sale.'
Notes to editors
1. A poll can be demanded by any five shareholders or the Chairman.
2. On a show of hands every shareholder present at the meeting has one vote and
proxies do not vote - i.e. a shareholder with just one share has the same vote
as the largest shareholder.
3. A poll is counted by numbers of shares held. It is a better reflection of
overall shareholder sentiment and overrides the vote on a show of hands at the
meeting.
4. The poll was conducted independently by the Registrars and
PriceWaterhouseCoopers.
5. The number of votes cast at the poll can be different from those cast on the
proxy cards as shareholders are entitled to withdraw their proxy vote and vote
in person at the meeting.
