RULE 2.10 ANNOUNCEMENT

London Stock Exchange plc announces, in accordance with Rule 2.10 of the City
Code on Takeovers and Mergers, that subsequent to an issue of  3,042 ordinary
shares under the London Stock Exchange Share Scheme, its issued share capital as
at 21 February 2006 comprises 255,108,639 ordinary shares of 5 5/6pence each.
