STOCK EXCHANGE NOTICE

DOMESTIC EQUITY MARKET
WHEN ISSUED DEALING
DIMENSION DATA HOLDINGS PLC

1. Listing particulars have been filed in relation to Dimension Data Holdings 
   plc global offer of ordinary shares (ISIN GB0008435405).   When Issued  
   dealing will be permitted under Rule 2.3(e) in the ordinary shares of 
   Dimension Data Holdings plc.
       
2. The timetable for When Issued dealing is as follows:

   When Issued dealing commences             - 8:00am Wednesday 19 July 2000

   Expected time for listing and 
   commencement of unconditional dealing     - 8:00am Monday 31 July 2000

3. Given that When Issued dealing will be for an eight day period, it is 
   recommended that the following timetable be followed.  Settlement for
   trades dealt between 19 and 21 July 2000, will be for settlement on 31 July
   2000.  All trades executed between 24 and 28 July 2000, will be based on a 
   T+5 rolling settlement basis.

   Settlement for When Issued transactions
   between 19 and 21 July 2000 (inclusive)   - Monday 31 July 2000

   Settlement for When Issued transactions
   between 24 and 28 July 2000 (inclusive)   - T+5 rolling settlement

   Recommended settlement date for
   certificated sellers                      - Monday 7 August 2000       

4. The security will be traded on the order book from the start of When Issued
   dealings preceded by a normal opening auction.  Transactions for
   non-standard settlement must be effected outside the order book but the
   resulting settlement date must be no earlier than the date of listing.
 
5. It is expected that, where applicable, the posting of definitive share 
   certificates will commence on or around Monday 31 July 2000.

6. All transaction reports for When Issued dealing must be submitted to CREST.

7. The offer may be subject to stabilisation.
