Director's shareholding
The company received the following notification on 4 November 2004 from Brian
Myerson:
'I am a potential beneficiary of the Nicholas Trust, which owns Concerto Capital
Corporation Limited ('Concerto'). Pursuant to an agreement entered into on 18
October 2004 between Principle Capital Holdings S.A. ('PCH') and Concerto,
Concerto agreed to sell (the 'Transfer') to PCH its entire holding of 1,270,475
shares in Retail Stores plc (the 'Concerto Shares') in consideration for the
issue to Concerto by PCH of 2,728,416 shares of £1 each in the capital of PCH.
Completion of the Transfer occurred on 3 November 2004.
Following the sale of the Concerto Shares, I no longer hold any interest in the
issued share capital of Retail Stores plc. For good order, however, I should
inform you that I have been appointed Chief Executive Officer of PCH and
Concerto owns 2,749,805 shares in the capital of PCH, which represents 30.6 per
cent. of PCH's issued share capital.'
