LOOKERS PLC PURCHASE OF MARK KASS LIMITED

Lookers plc ('Lookers') is pleased to announce the purchase of
the entire share capital of Mark Kass Limited ('Kass').

Kass  has  5  motor dealerships comprising of 3 Nissan  and  2
Toyota  franchises situated in Central London  and  the  South
East of England with a further dealership being constructed at
Rayleigh, Essex.

The   consideration  for  the  acquisition  is  based  on  the
provisional  net  asset  value of  £3,900,000  which  will  be
adjusted  on a pound for pound basis to the actual  net  asset
value as shown in the completion accounts.

The  profit  before taxation for the year ended 31st  December
1999 amounted to £1,013,143.

The  consideration  is  being  satisfied  by  the  payment  of
£390,000  in  cash on completion together with  the  issue  of
478,527  new Ordinary Shares of 25 pence each in Lookers  plc.
Application will be made to the UK Listing Authority  and  the
London Stock Exchange Limited for admission of such shares  to
the Official List.  Each of the Vendors have undertaken not to
dispose  of more than 10% of the consideration shares in  each
of  the  three  years following completion of the  acquisition
other than with the prior written consent of the Company.  The
balance  of the consideration has been satisfied by the  issue
of Loan Notes having an aggregate value of £3,120,000.

Lookers  believes that the addition of Kass  to  its  existing
businesses  in  the  South East will  further  strengthen  the
Group's  trading  position and provide an  enlarged  base  for
future growth in that part of the country.

Each  of  the two vendors of Kass (Mark James Kass  and  Segar
Karupiah)  have entered into service contracts  with  Lookers.
In  respect of Mark Kass, his employment is for a fixed period
of  3  years and thereafter capable of termination  by  either
party on 12 months notice.  In respect of Segar Karupiah,  his
employment shall continue until terminated by either party  on
six months notice.

This  acquisition complements the appointment  of  Lookers  as
Nissan  dealers for the Greater Manchester area following  the
purchase  on 30th June 2000 of certain assets and the business
operations of the Nissan dealership in Manchester belonging to
Ryland  Group plc.  Lookers core dealership will operate  from
Stretford  Manchester,  with  other  dealerships  trading   in
Stockport, Hale, Rochdale and Oldham.
