      Circular to Shareholders and Notice of Extraordinary General Meeting


A circular setting out details of the proposed acquisition of FPS Distribution
Limited was posted to shareholders yesterday.  Contained in the Circular is a
notice convening an Extraordinary General Meeting to approve the Acquisition to
be held at 10.00am on 12 August 2004.

A copy of the Circular has been submitted to the UKLA and will shortly be
available for inspection at the Document Viewing Facility, 25 The North
Colonnade, Canary Wharf, London E14 5HS.
