Total Voting Rights

In conformity with the Disclosure and Transparency Rules DTR 5.6.1 we hereby notify that the company's issued share capital as at 26^th February 2016 consists of:

396,161,730 issued ordinary shares of 5 pence each ('shares') admitted to trading.  Each ordinary share carries the right to one vote in relation to all circumstances at general meetings of Lookers plc and accordingly it had total voting rights of 396,161,730

The above figure of 396,161,730 shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, shares of Lookers plc under the Disclosure and Transparency Rules. No shares are held in treasury.

For the purposes of DTR 6.4.2, Lookers plc confirms that its Home Member State is the United Kingdom.
