DIRECTORATE CHANGES

Senior Independent Director

M&G plc (the "Company") announces that Caroline Silver stepped down as a director of the Company from the close of the Company's Annual General Meeting ("AGM") held earlier today, 27 May 2020. Caroline Silver's intention to step down was announced on 19 February 2020.

Clare Thompson, Non-executive Director and Chair of the Audit Committee, will take on the role of Senior Independent Director on an interim basis, with effect from 27 May 2020.  The Company's recruitment of a permanent Senior Independent Director is well progressed.

Committee Changes

Clare Thompson and Clive Adamson, Non-executive Directors, and Chairs of the Audit and Risk Committees respectively, will become members of the Nomination Committee, with effect from 27 May 2020.

Robin Lawther, Non-executive Director and Chair of the Remuneration Committee will become a member of the Audit Committee, with effect from 27 May 2020.

Regulatory disclosures

There is no further information required to be disclosed pursuant to Listing Rule 9.6.13 (1) - (6) of the Listing Rules of the Financial Conduct Authority in relation to the resignation of Caroline Silver or the role changes of Clive Adamson, Clare Thompson or Robin Lawther.
