M.P. EVANS GROUP PLC ("M.P. EVANS") Purchase of shares in the The North Australian Pastoral Company Pty. Limited ("NAPCo") and issue of new shares in M.P. Evans The board is pleased to announce that a conditional agreement has been reached with Mr J D Shaw, a director of M.P. Evans, to acquire Sandlark Pty Limited ("Sandlark"), an Australian company owned by Mr Shaw and his wife. Sandlark's sole investment is its holding of 302,607 shares in NAPCo. The agreed purchase price for Sandlark is A$2,467,297 which will be satisfield by the issue to Mr Shaw of 389,577 new M.P. Evans shares - these shares will not rank for the interim dividend of 2p per share payable on or after 4 November 2008. The transaction is based on a purchase price of A$11.50 per NAPCo share and an M.P. Evans share price of 290.45 pence per share. Loans of A$1,019,982 to Sandlark from Mr and Mrs Shaw will be repaid in cash on completion. Although the purchase of the shares from Mr Shaw is a related-party transaction, it does not fall under rule 13 of the AIM rules as the class tests are below 5 per cent. Nevertheless, the M.P. Evans board believes that the transaction is fair and reasonable. Mr Shaw abstained from the board's decision to proceed with the transaction. The transaction is subject to the approval of the Australian Foreign Investment Review Board, which is expected to be received within the next month. As a result of the transaction, M.P. Evans' share of NAPCo will increase from 32.57% to 34.37%. This represents a further step in the implementation of the Group's strategic objective of expanding both its Australian beef-cattle and Indonesian palm-oil interests. Following the approval of the Australian Foreign Investment Review Board, application will be made to the London Stock Exchange plc for the admission of the new shares to trading on AIM.
