Mr  P  E Hadsley-Chaplin, a director of the Company, has today exercised options
over 50,000 shares granted on 17 July 2001 at 75.5p per share.

His interests in the issued share capital of the Company are now as follows:

Shares of 10p each
Beneficial:  841,365  (1.61%)
Non-beneficial:  91,279  (0.17%)
Options:  1,150,000



ISSUED AND VOTING SHARE CAPITAL

In  conformity  with the Financial Services Authority's ("FSA")  Disclosure  and
Transparency Rules the Company would like to notify the market of the following:

Following  the  aforementioned exercise of 50,000 share  options  the  Company's
issued  share  capital  consists of 52,211,585 shares of 10p  each  with  voting
rights. The Company holds no shares in Treasury.

Therefore the total number of voting rights in the Company is 52,211,585.

The  above  figure of 52,211,585 may be used by shareholders as the  denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, the Company under the FSA's
Disclosure and Transparency Rule 5.6.1.
