EXERCISE OF OPTIONS AND PDMR SHAREHOLDING

The Company announces that it has been notified of the exercise of options today under the executive share-option scheme by Mr P E Hadsley-Chaplin and Mr P A Fletcher, both directors of the Company.  Mr P E Hadsley-Chaplin exercised his options over 200,000 10p shares granted at 126.50p per share and over 143,440 shares granted at 138.04p per share.  Mr P A Fletcher also exercised his options over 200,000 shares granted at 126.50p per share and over 143,440 shares granted at 138.04p per share.   Accordingly, the Company has issued Mr P E Hadsley-Chaplin 343,440 shares and Mr P A Fletcher 343,440 shares.

At the same time, Mr P E Hadsley-Chaplin sold 217,500 shares at 505p per share and Mr P A Fletcher sold 212,500 shares at 505p per share in order to fund the majority of the exercise cost of the share options and the associated tax liabilities.   

As a result of the exercise of the options and the share disposals, these directors' holdings in the shares of the Company are now as follows:-

Following the above transactions, the total number of voting rights in the Company is 54,787,761.

The above figure of 54,787,761 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rule 5.6.1.

The Company has also received notice that Mr J D Shaw, a non-executive director, has sold 10,000 shares at a price of 500p per share.  As a result of this transaction, Mr J D Shaw's beneficial interest in the shares of the Company is now 515,747 shares, representing 0.94% of the issued share capital of the Company.
