NOTIFICATION AND PUBLIC DISCLOSURE OF TRANSACTIONS BY PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES AND PERSONS CLOSELY ASSOCIATED WITH THEM

GRANT OF SHARE OPTIONS

M.P. Evans Group PLC, a producer of sustainable Indonesian palm oil, announces that on 2 January it granted nil-cost options under the M.P. Evans Group PLC Long Term Incentive Scheme respectively to Mr Matthew Coulson, the chief executive, over 18,000 shares of 10p each in the Company  ("Shares") and to Mr Luke Shaw, the chief financial officer, over 12,000 Shares (the "Options").

In each case the Options will normally vest and become exercisable on 2 January 2028, subject to continued employment. The Options are also in each case subject to satisfaction of an 'underpin condition' linked to the general financial performance of the Company and adherence to the Company's core strategic pillars (Responsibility, Excellence, Growth, and Yield).

Any Shares resulting from exercise of these Options (after any sales to fund tax liabilities) will also be subject to a two-year holding period ending 2 January 2030.

The information set out below is provided in accordance with the requirements of Article 19(3) of Regulation (EU) No. 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse, as it forms part of UK domestic law by virtue of the European Union (Withdrawal) Act 2018, as amended ("UK MAR").
