Publication of a circular in connection with the De-listing of the Company from IPSX Wholesale
As announced by the Board of Mailbox REIT on 5 September 2023, IPSX UK Limited ("IPSX"), the operator of the International Property Securities Exchange (the "Exchange"), wrote to the Exchange's issuers and Lead Advisers to notify them that IPSX had initiated a winding-down process which will result in the closure of the wholesale market of the Exchange ("IPSX Wholesale") in December 2023.
Further to the Company's announcement on 25 October 2023, the Company has today published a circular to its shareholders (the "Circular") explaining the Board's decision to proceed with the cancellation of the admission of the Company's ordinary shares to trading on IPSX Wholesale (the "De-listing") and to not seek an admission on an alternative trading platform. The Company will also exit the REIT regime prior to the De-Listing.
As set out in the Circular, the De-listing will take effect at 7.00 a.m. on 20 November 2023, prior to IPSX's December deadline. Therefore, the last day of dealings in Ordinary Shares on IPSX Wholesale will be 17 November 2023.
A copy of the Circular will be submitted to the National Storage Mechanism and will shortly be available for inspection at https://data.fca.org.uk/#/nsm/nationalstoragemechanism. The Circular will also be available on the Company's website (www.themailboxreit.com/investors/documents/). Shareholders are encouraged to read the Circular in full.
