The Company has been advised that on 21 January 2002 Safeguard Limited purchased
50,000 ordinary 10p shares in the Company (representing 0.09% of the Company's
issued ordinary share capital) at a price of 268 pence per share.



As a result of this transaction, Henry S Barlow, who is a Director of the
Company, has increased his beneficial holding to 12,893,026 ordinary 10p shares
in the Company (representing 24.46% of the Company's issued ordinary share
capital).



Non-beneficial interests of Henry S Barlow remain at 313,084 which represents
0.59% of the Company's issued ordinary share capital.
