On 27th June 2006 the following share transaction was completed by a PERSON
DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS. Man Group plc was
informed of the transaction on that date.


Christopher Smith:

Exercise of 1999 awards under the Man Group Post Tax Coinvestment Plan for
28,806 ordinary shares for a consideration of £1 in aggregate.

Following the above transactions Christopher Smith is deemed to be interested in
a total of 569,439 Man Group plc ordinary shares, representing approximately
0.186% of the Company's issued share capital.
