Director Shareholding

Notification is given pursuant to Chapter 16.13 of the Listing Rules that on
6th June 2001 the Company has made awards to the following directors under the
Man Group Long Term Incentive Plan ('the Plan') which was approved by
shareholders on 2nd September 1996:

Stanley Fink          35,945 ordinary shares
Peter Clarke          25,675 ordinary shares
Kevin Davis           25,675 ordinary shares

Awards vest after four years for no consideration and are subject to certain
performance criteria as set out in the rules of the Plan.

The E D & F Man Group 1990 Employee Trust ('the Employee Trust') holds
1,567,447 ordinary shares and has a security interest over 1,003,914 shares.

Executive Directors of the Company are deemed to be interested in shares held
by the Employee Trust and shares over which the Employee Trust holds a
security interest.
