Director Shareholding

Notification is given pursuant to Chapter 16.13 of the Listing Rules that on
12th July 2001 the Company has made awards to the following directors under
the Man Group plc Unapproved Executive Share Option Scheme 2001 ('the Scheme')
which was approved by shareholders on 11th July 2001:

Stanley Fink          75,716          Ordinary Shares
Peter Clarke          54,083          Ordinary Shares
Kevin Davis           54,083          Ordinary Shares

The exercise price is 924.50p.  The awards are normally exercisable between
12th July 2004 and 12th July 2011 subject to performance criteria as set out
in the rules of the Scheme.

The E D & F Man Group 1990 Employee Trust ('the Employee Trust') holds
1,347,864 shares and has a security interest over 1,003,914 shares.  Executive
Directors of the Company are deemed to be interested in the shares held by the
Employee Trust and the shares over which the Employee Trust holds a security
interest.
