Notification is given pursuant to Chapter 16.13 of the Listing Rules that on
15th July 2002 the interests of the 1990 Employee Trust ('the Employee Trust')
registered in the name of E D & F Man Employee Investments (Jersey) Ltd a/c
13071B in the share capital of the company have decreased by 460,790 shares to
1,529,383 shares as a result of the transfer of 460,790 shares for nil
consideration to several beneficiaries of the Man Group Long Term Incentive
Plan (the 'Plan') which was approved by shareholders on 2nd September 1996.
Executive Directors of the company are deemed to be interested in the
1,529,383 shares held by the Employee Trust and the 742,065 shares over which
the Employee Trust holds a security interest.
