On 20 June 2005, Kevin Davis, Director of the Company, exercised options under
the Unapproved part of the Man Group Executive Share Option Scheme 2001 at 956
pence per share over 52,301 ordinary shares in Man Group plc. He sold the
resulting number of shares at 1440.07 pence per share. Following this
transaction, Mr Davis is deemed to be interested in a total of 1,032,261 Man
Group plc ordinary shares representing approximately 0.337% of the company's
issued share capital.
