The Board of Marks and Spencer Group plc announced on Monday 12 July the
appointments of Anthony John Habgood and Steven Holliday to the Board of
Directors of Marks and Spencer Group plc as non-executive Directors with effect
from 15 July 2004.

In accordance with the requirements under Rule 16.4 of the Listing Rules of the
UK Listing Authority Listing Rules, we confirm that:
     
 1. Mr Habgood is Chairman of Bunzl plc and is also a non-executive director of
    S V G Capital plc. He has no disclosures to be made under paragraph of 6.F.2
    (b) to (g) of the Listing Rules.

 2. Mr Holliday is an Executive Director of National Grid Transco plc and CEO of
    its subsidiary, Transco. He has no disclosures to be made under paragraph of
    6.F.2(b) to (g) of the Listing Rules.
