Marks and Spencer Group plc Notification of Transactions Of Directors/Persons Discharging Managerial Responsibility and Connected Persons

1. Deferred Share Bonus Plan

It was confirmed on 10 March 2010 that on 5 March 2010 the following transactions took place in regard to the Marks and Spencer Group plc Deferred Share Bonus Plan (the "Plan") for the following PDMRs of the Company,

The directors elected to sell sufficient shares to cover their Income Tax and National Insurance liability. Any remaining shares in the Plan are still subject to the terms of the awards.

Note: The shares were awarded under the Company's Annual Bonus Scheme in June 2007. The Scheme required Executive Directors to defer 60% of their bonus earned into shares in the Plan.

The sale of the shares took place in London on 5 March 2010 at a price of £3.4275 per share.

2. Restricted Share Plan

It was confirmed on 10 March 2010 that on 5 March 2010 the following transaction took place in regard to the Marks and Spencer Group plc Restricted Share Plan for the following PDMR of the Company:

John Dixon elected to sell sufficient shares to cover his Income Tax and National Insurance liability. Any remaining shares are still subject to the terms of the award.

Note: The shares were awarded under the Company's Restricted Share Plan. The Plan was established in 2000 as part of the reward strategy for senior management below Executive Board level who are vital to the future success of the Company. John Dixon was awarded these shares prior to his appointment as an Executive Director. 

The sale of the shares took place in London on 5 March 2010 at a price of £3.4275 per share.

3. Shareholdings of PDMRs

The transactions listed above relate to shares which have not yet been released.  Therefore directors' holdings as at 10 March 2010 remain unchanged as follows.
