DIRECTOR SHAREHOLDING




The Company has been informed today that on 22 May 2001:

  * David Norgrove acquired 19,291 shares arising from the exercise of a
    senior option which was about to lapse. The Option was granted on 23 May
    1991 at a price of 254p

  * He sold 18,876 shares at a price of 260.5p to cover the cost of the
    option
  * The balance of 415 shares have been retained and are registered in the
    name of David Ronald Norgrove

Mr Norgrove's total shareholding following this transaction stands at 18,513
shares.
