DISCLOSURE OF INTEREST IN VOTING SHARES
Marks and Spencer p.l.c. was notified today by Brandes Investment Partners,
L.P. ('Brandes') that at close of business on 5 July 2001:
(i) Brandes was interested in 150,780,193 ordinary shares and 23,640,579
American Depository Receipts in Marks and Spencer p.l.c., which together
represent the equivalent of 292,623,667 ordinary shares - approximately 10.2%
of the issued share capital of the Company.
(ii) The registered holders of these shares are approximately 490
custodian banks unaffiliated with Brandes.
(iii) None of the shares are shares in which Brandes is interested by
virtue of section 208(5) of the Act.
