DISCLOSURE OF INTEREST IN VOTING SHARES

Marks and Spencer p.l.c. was notified today that at close of business on 18
July 2001 Franklin Resources Inc was interested in 135,289,471 ordinary shares
and 998,697 American Depository Receipts in Marks and Spencer p.l.c., which
together represent the equivalent of 141,281,653 ordinary shares, representing
4.9259% of the issued share capital of the Company.
