                    DISCLOSURE OF INTEREST IN VOTING SHARES

Marks and Spencer p.l.c. was notified today by Brandes Investment Partners,
L.P. ('Brandes') that at close of business on 9 November 2001:

(i)     Brandes was interested in 125,096,037 ordinary shares and 20,650,655
American Depository Receipts in Marks and Spencer p.l.c., which together
represent the equivalent of 248,999,967 ordinary shares - approximately 8.6%
of the issued share capital of the Company.

(ii)     The registered holders of these shares are approximately 510
custodian banks unaffiliated with Brandes.

(iii)     None of the shares are shares in which Brandes is interested by
virtue of section 208(5) of the Act.
