DISCLOSURE OF INTEREST IN VOTING SHARES
Marks and Spencer p.l.c. was notified today that on 21 November 2001 Franklin
Resources Inc was interested in 83,031,650 ordinary shares and 400,731
American Depository Receipts in Marks and Spencer p.l.c. Together these
represent 85,436,036 ordinary shares which is 3.0003% of the issued share
capital of the Company.
