HOLDING IN COMPANY

Marks and Spencer Group p.l.c. was notified on 7 October 2003 by Brandes
Investment Partners, LLC ('Brandes') that at close of business on 1 October
2003:

(i) Brandes was interested in 88,103,754 ordinary shares and 12,121,080 American
Depository Receipts in Marks and Spencer Group p.l.c., which together represent
the equivalent of 160,830,234 ordinary shares - approximately 7.0% of the issued
share capital of the Company.
     
(ii) The registered holders of these shares are approximately 465 custodian
     banks unaffiliated with Brandes.

iii. None of the shares are shares in which Brandes is interested by virtue of
     section 208(5) of the Act.
