Results of the Placing
Director/PDMR Dealing
Further to the Group's announcement of earlier today regarding the proposed placing (the "Placing Announcement"), Marlowe announces that it has successfully raised approximately £50 million before expenses under the Placing, which was significantly oversubscribed. The Placing Price of 907 pence per Placing Share represents a nil premium to the closing mid-market price per Ordinary Share on 19 October 2021.
A total of 5,512,679 Placing Shares were placed with institutional and other investors, conditional on Admission. Pursuant to the Placing, the Group has raised net proceeds of approximately £48.7 million after expenses.
Cenkos and Berenberg acted as lead bookrunners in connection with the Placing, and Stifel acted as bookrunner.
Adam Councell, the Company's Chief Financial Officer, subscribed for 16,538 Placing Shares under the Placing. The notification below, made in accordance with the requirements of the UK Market Abuse Regulation (596/2014), provides further details in this regard.
Application has been made for the 5,512,679 Placing Shares to be admitted to trading on AIM, and it is expected that Admission will occur at 8.00 a.m. on or around 26 October 2021. Following Admission of the Placing Shares, the Group's issued ordinary share capital will comprise 82,639,501 Ordinary Shares, none of which are held in treasury.
Therefore, following Admission of the Placing Shares, the total number of Ordinary Shares with voting rights in the Group will be 82,639,501, which may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Group under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
