Results of the Placing

 

Further to the announcement on 18 March 2021 of the proposed placing (the "Placing Announcement"), Marlowe announces that it has successfully raised approximately £100 million before expenses under the Placing, which was significantly oversubscribed. The Placing Price of 690 pence per Placing Share represents a nil discount to the closing mid-market price per Ordinary Share on 18 March 2021.

 

A total of 14,492,754 Placing Shares were placed with institutional investors, conditional on Admission. Pursuant to the Placing, the Group has raised net proceeds of approximately £ 97.8 million after expenses.

 

Cenkos, Berenberg and Goldman Sachs acted as lead bookrunners in connection with the Placing, and Stifel acted as bookrunner.

 

Application has been made for the 14,492,754 Placing Shares to be admitted to trading on AIM, and it is expected that Admission will occur at 8.00 a.m. on or around 25 March 2021. Following Admission of the Placing Shares, the Group's issued ordinary share capital will comprise 76,969,849 Ordinary Shares, none of which are held in treasury.

 

Therefore, following Admission of the Placing Shares, the total number of Ordinary Shares with voting rights in the Group will be 76,969,849, which may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Group under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
