Application has been made to the UK Listing Authority and to the London Stock
Exchange for a Block Listing of 800,000 ordinary shares of 25p each to be
admitted to the Official List.

These shares, ranking pari passu in all respects with the existing shares in
issue, will be allotted pursuant to the exercise of options and to the rules
of the following scheme:-

Marshalls plc 1993 Executive Share Option Scheme   800,000

These shares will not be allotted immediately but as and when the Scheme rules
allow.
