The separate class meetings of the Convertible Preference Shareholders and the
Cumulative Preference Shareholders of Marshalls Plc due to be held yesterday
to propose authorisation of the buy back of both the ordinary shares and the
convertible preference shares in Marshalls Plc as set out in the circular to
shareholders dated 6th April 2000, have been adjourned because insufficient
proxies were received to meet the quorum requirements of the two class
meetings, being one third of those eligible to vote casting their votes,
although those proxies received from both class meetings indicated
overwhelming support for the resolutions. The class meetings have been
reconvened for 3.00pm and 3.05pm respectively on Wednesday 10th May 2000 at
Birkby Grange, Birkby Hall Road, Birkby, Huddersfield HD2 2YA.
