DIRECTORATE

Marshalls plc announces that Mr R B Illingworth, Chief Executive of the Clay
Products and Emerging Businesses Divisions, has decided to leave the Group to
pursue other interests.  He has today resigned as a Director of Marshalls plc
and will remain with the Group until 18 March 2002 to facilitate an orderly
handover of his responsibilities.

A further announcement detailing the allocation of Mr Illingworth's Executive
responsibilities will be made in due course.
