The Company has today been notified by Credit Suisse Asset Management (UK)
Limited on behalf of Sun Life Assurance Company of Canada (UK) Limited pursuant
to the Companies Act 1985 that, following purchase of 250,000 ordinary shares,
Sun Life Assurance Company of Canada (UK) Limited are to be regarded as having a
material interest in 5,237,397 shares in Marshalls plc, representing 3.13% of
the issued share capital.



The shares held are registered as follows;

Roy Nominees                                      3,498,620
