The Company was notified on 12 July 2004 pursuant to Section 198 of the
Companies Act 1985, that, as a result of the Marshalls plc capital
reorganisation, Morley Fund Management Limited (a subsidiary of Aviva plc) and
Aviva plc are to be regarded as having a material interest in 6,766,650 issued
ordinary shares of 150 pence in Marshalls plc (formerly Marshalls Group plc)
representing 4.77% of the issued share capital.
