The Company was notified on 31 March 2006 pursuant to Section 198 of the
Companies Act 1985 by AXA Investment Managers Limited that AXA S.A. and its
Group companies are to be regarded as having a beneficial interest in 11,568,801
shares in Marshalls plc, representing 8.08% of the issued share capital and a
non-beneficial interest in 7,142,170 shares in Marshalls plc, representing 4.99
of the issued share capital.
