Marshalls plc (the 'Company') received notification on 23 February 2007 that AXA
S.A. and its group companies is interested in 14,275,552 ordinary shares of 25p
each in the Company ('Ordinary Shares'), which represents 9.98% of the total
voting rights of the Company.

The Company currently has 143,106,254 Ordinary Shares in issue.
