RESOLUTIONS PASSED AT THE ANNUAL GENERAL MEETING, EXTRAORDINARY GENERAL MEETING
AND CLASS MEETING OF THE 10% CUMULATIVE PREFERENCE SHARES
Marshalls plc confirms that all resolutions proposed at the Annual General
Meeting held on 22 May 2002 were duly passed by shareholders including items of
special business relating to the limited authority to purchase the Company's own
shares up to an aggregate of 24.9 million shares and the Political Parties,
Election and Referendums Act 2000.
The resolutions covering the proposed cancellation and repayment of the 10%
Cumulative Preference Shares and reduction of the share premium account were
passed at the Extraordinary General Meeting and separate Class Meeting of the
10% Cumulative Preference Shareholders also held on 22 May 2002.
