Voting Rights and Capital

In conformity with the Transparency Directive, Marshalls plc ('Marshalls' or the
'Company') would like to notify the market of the following:

Marshalls' capital consists of 143,106,254 ordinary shares of 25p each
('Ordinary Shares'). The Company holds 2,425,000 Ordinary Shares in treasury.

Therefore, the total number of voting rights in Marshalls (excluding treasury
shares) is 140,681,254.

The above figure (140,681,254 Ordinary Shares) may be used by shareholders as
the denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in,
Marshalls under the FSA's Disclosure and Transparency Rules.
