Proposed fund reorganisation including proposed migration to the Cayman Islands
On 8 April 2009, the Board announced that it was seeking to implement the proposals which include the migration of the Company from Guernsey to the Cayman Islands (the 'Migration'). The proposals were set out in the circular to Shareholders and Warrantholders dated 8 April 2009 (the 'Circular') and approved by Shareholders and Warrantholders on 27 April 2009.
The Guernsey Financial Services Commission has now consented to the Migration but it remains conditional on the Guernsey Registrar of Companies and the Cayman Islands Registrar of Companies granting the necessary consents. The necessary consents are expected to be received on or prior to 8 July 2009 and accordingly the Company expects that its name will be registered by the Cayman Islands Registrar of Companies and removed from the Guernsey Register of Companies and that the Migration and sub-division will become effective at 5.00 p.m. on 8 July 2009 (the 'Migration Date').
As described in the Circular, with effect from Migration, the Ordinary Shares and Warrants will cease to be capable of themselves being admitted to CREST. Instead, Shareholders and Warrantholders who wish to hold and transfer interests in Ordinary Shares and Warrants within CREST will only be able to do so pursuant to depository interest arrangements. A letter setting details of the action to be taken by Shareholders and Warrantholders prior to the Migration Date is expected to be posted to Shareholders and Warrantholders on 18 June 2009 and will also be available on the Company's website (www.marwynvalue.com).
