                           Director/PDMR Shareholding



The board of Mattioli Woods plc (AIM: MTW.L), the specialist pensions
consultancy, announces that its broker, Evolution Securities Limited, today
placed 526,316 ordinary shares on behalf of Bob Woods, Executive Chairman, and
526,316 ordinary shares on behalf of Ian Mattioli, Chief Executive, at a price
of 285p per 1p ordinary share.



The shares were placed in response to market demand.  Bob Woods and Ian Mattioli
have received the consent of Evolution Securities Limited to place these shares
and have agreed not to dispose of any further shares at any time prior to
publication of the Company's next interim results without the prior consent of
the Company's broker.



As a result of the placing, the directors' holdings are now as follows:
