Statement re Offers for Subscription and Related Party Transaction

Maven VCT 5, Maven Income and Growth VCT 1 PLC ("Maven VCT 1"), Maven Income and Growth VCT 2 PLC ("Maven VCT 2"), Maven Income and Growth VCT 3 PLC ("Maven VCT 3") and Maven Income and Growth VCT 4 PLC ("Maven VCT 4") (together "the Companies") are managed by Maven Capital Partners UK LLP ("Maven").

The Boards of the Companies launched the offers for subscription to raise, in aggregate, up to £18 million ("the Offers" and each an "Offer"). Full details of the Offers are contained in a prospectus, which was published by the Companies on 20 October 2014.

Allister Langlands and his wife have submitted applications to subscribe, in aggregate, £140,000 under the Offer in respect of Maven VCT 5, which have been accepted.  As a director of Maven VCT 5, Allister Langlands is a related party of that company under the Listing Rules (and his wife is an associate of a related party under those rules) and, consequently, the subscriptions are transactions to which Listing Rule 11.1.10R applies.
