          Offer for subscription of "C" Ordinary Shares ("the Offer")


The Directors of Aberdeen Growth Opportunities VCT PLC are pleased to announce
that pursuant to the Offer for Subscription which opened on 25 January 2006, the
Company has today issued and allotted 11,035,271 "C" Ordinary shares of 10
pence, bringing the number of "C" Ordinary share issued to 12,486,398. The
remaining "C" Ordinary Shares will be issued and allotted before the end of the
2005/2006 tax year following receipt of valid applications under the Offer.  The
Offer Price at which the Ordinary Shares were issued and allotted was £1.00 per
"C" Ordinary share.

The Offer is expected to remain open until 12 noon on 5 April 2006.
