                     CLOSING OF OFFER FOR SUBSCRIPTION



The Directors of Aberdeen Growth Opportunities VCT PLC are pleased to announce
that pursuant to the Offer for Subscription which opened on 25 January 2006, on
5 April 2006 the Company issued and allotted 2,468,096 "C" Ordinary shares of 10
pence, bringing the number of "C" Ordinary shares issued to 14,954,519. The
Offer Price at which the Ordinary Shares were issued and allotted was £1.00 per
"C" Ordinary share.


The Directors therefore announce that the Offer for Subscription is closed.
