Section 198 of the Companies Act 1985
McBride PLC ('the Company') received a notification on 21 October 2003 from
AMVESCAP PLC ('AMVESCAP') pursuant to the provisions of Section 198 of the
Companies Act 1985 (the 'Act') that, following the recent conversion of
AMVESCAP's unit trusts into investment companies with variable capital ('ICVCs')
(date not specified) within the meaning of Sections 203 and 208 of the Act, the
said unit trusts ceased to be interested in 30,744,420 Ordinary shares of 10p
each in the Share capital of the company.
Immediately following the transaction referred to above AMVESCAP no longer had a
notifiable interest within the meaning of Section 199 (2) of the Act. However,
AMVESCAP's ICVC, INVESCO UK ICVC Series, had a notifiable interest (within the
meaning of Section 199 (2) of the Act) in 26,747,055 shares representing 15.06%
of the issued Ordinary share capital of the Company this following a sale of
690,000 shares on 8 October 2003.
The notification was made solely for the purpose of informing the Company of
AMVESCAP's conversion to ICVCs pursuant to the different disclosure requirements
related thereto.
In addition the Company received a further notification on 22 October 2003
advising that following a sale of 123,388 shares on 20 October 2003, INVESCO UK
ICVC Series now hold 26,623,667 shares representing 14.99% of the issued
Ordinary share capital of the Company.
Further, AMVESCAP has confirmed that it's total holding in the Company's issued
Ordinary share capital is 20.58% represented by 36,558,070 10p shares.
