Directors' Notification of Dealing in Shares

       NOTIFICATION OF CHANGE OF REGISTERED SHARE DETAILS BY A DIRECTOR

We advise that today, 21st August 2000, Mr Francis Wahl, a Director of Photo-Me
International Plc, has transferred 12,400,000 Ordinary shares from Strativar
Investments BV to Vidacos Nominees Limited (A/C 'Bear'). Mr Wahl maintains a
beneficial interest in these shares and has transferred them from one nominee to
another for administrative purposes only.

Mr Wahl's total interest is unchanged at 23,782,855 shares, representing 6.57%
of the Company's Issued Ordinary shares, and now Registered as follows:

               23,681,605 shares - in Vidacos Nominees Limited (A/C 'Bear')
